Welcome to August. These Terms of Service govern your use of our employee management platform and services. By accessing or using August, you agree to be bound by these terms.

Acceptance of terms

By creating an account, submitting an application, or using any part of the August platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

Description of service

August provides an employee management platform that includes but is not limited to:

  • Employee scheduling and time tracking
  • Communication tools including SMS messaging
  • Job application and hiring management
  • Document management and signing
  • Payroll integration and reporting
  • Mobile application access

User accounts and registration

Account creation

To use certain features of August, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

Age requirements

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

User conduct and responsibilities

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Violate the rights of others, including intellectual property rights
  • Submit false, inaccurate, or misleading information
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service
  • Use the Service to transmit spam, chain letters, or other unsolicited communications
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity

SMS communications

By providing your mobile phone number, you consent to receive SMS text messages from August and your employer. Message frequency varies. Message and data rates may apply. You can opt out at any time by replying STOP to any message. For help, reply HELP.

Intellectual property

The Service and its original content, features, and functionality are owned by August and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software without our express written permission.

Data ownership and use

Your employer retains ownership of all data submitted to the Service through their organization account. August processes this data as a service provider on behalf of your employer.

By using the Service, you grant August a non-exclusive, worldwide, royalty-free license to use, process, and store your data solely for the purpose of providing and improving the Service.

Payment and billing

For organizations using paid features, payment terms are as agreed upon in your subscription agreement. All fees are non-refundable except as required by law or as otherwise specified in your agreement.

We reserve the right to change our pricing at any time upon reasonable notice to you. Your continued use of the Service after the price change constitutes your agreement to pay the modified fees.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact your employer or organization administrator.

Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of liability

IN NO EVENT SHALL AUGUST, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

Indemnification

You agree to defend, indemnify, and hold harmless August and its licensors and licensees, and their employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of the Service or violation of these Terms.

Governing law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts located in the United States.

Changes to terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Entire agreement

These Terms constitute the entire agreement between you and August regarding your use of the Service and supersede all prior and contemporaneous written or oral agreements between you and August.
